("MeeVee") website, which is currently located at www.MeeVee.com (the "Site"), the MeeVee blog network or other affiliated websites, the MeeVee information services (such as without limitation RSS feeds, MRSS feeds, XML and other formats, and widgets) and other affiliated websites and services (together, the "MeeVee Sites and Services"), you acknowledge that you have read and agreed to these Terms of Use (the "Terms of Use"). Please read them carefully. These Terms of Use are a binding contract between you and MeeVee regarding your use of the MeeVee Sites and Services. If you do not agree with any of these terms, please do not use any of the MeeVee Sites and Services.
Changes to Terms of Use
MeeVee reserves the right to change these Terms of Use from time to time in its sole and absolute discretion. MeeVee will notify you of any such changes by posting notice on the Site that changes have been made. Your continued use of any of the MeeVee Sites and Services after MeeVee has posted notice of such changes shall indicate your acknowledgement of such changes and constitute your agreement to be bound by the terms and conditions of such changes. If you object to any such changes, your sole recourse shall be to cease using the MeeVee Sites and Services.
Your Responsibilities
You are responsible for obtaining and maintaining all equipment and services needed for access to and use of the MeeVee Sites and Services and for paying all charges related thereto. When you use the MeeVee Sites and Services, MeeVee and its advertising and promotional partners collect certain personal information about you. You agree that MeeVee and its advertising and promotional partners may use any information MeeVee obtains about you in accordance with the provisions of MeeVee’s Privacy Policy. You agree to: (i) provide true, accurate, current, and complete information as prompted by any registration form; and (ii) maintain and update such information to keep it true, accurate, current, and complete at all times. In addition, you agree not to use the MeeVee Sites and Services to: (a) violate any local, state, national, or international law or regulation; (b) transmit any material that is abusive, harassing, tortious, defamatory, vulgar, pornographic, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable; (c) transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation; (d) transmit any material that contains adware, malware, spyware, software viruses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (e) stalk, harass, or harm another individual; (f) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; or (g) interfere with or disrupt the MeeVee Sites and Services or servers or networks connected to the MeeVee Sites and Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the MeeVee Sites and Services. MeeVee reserves the right to investigate your use of the MeeVee Sites and Services in the event MeeVee, in its sole discretion, believes you have violated these Terms of Use.
Member Submissions
MeeVee does not claim ownership of any stories, information, data, text, software, music, sound, photographs, graphics, video, messages, tags or other materials you submit for display or distribution to others through the MeeVee Sites and Services (collectively, "Member Submissions"). Under these Terms of Use, you retain all your existing intellectual property rights you may have in your Member Submissions, subject only to the license granted to MeeVee in these Terms of Use. To enable MeeVee to make your Member Submissions available to others, you grant to MeeVee, its parents, subsidiaries, and affiliates, and their respective agents and representatives, an irrevocable, perpetual, non-exclusive, fully-paid, royalty-free, worldwide, freely assignable and sublicensable license to copy, distribute, display, perform, modify, adapt, format, translate, and otherwise use your Member Submissions, in whole or in part, and with or without the author name you submit with your Member Submissions, in any format or medium and through any technological means now known or later developed. You understand and agree that this license includes the right to display advertisements in connection with Member Submissions and to use Member Submissions for advertising and promotional purposes.
MeeVee is not required to host, display, or distribute any Member Submissions, and may remove at any time or refuse any Member Submissions. MEEVEE SHALL NOT BE NOT RESPONSIBLE OR LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS, THEFT OR DAMAGE OF ANY KIND TO ANY MEMBER SUBMISSIONS OR FOR ANY REMOVAL OR REFUSAL OF ANY MEMBER SUBMISSIONS.
MeeVee does not pre-screen Member Submissions and you agree that you are solely responsible for all of your Member Submissions. You represent and warrant that: (a) you own all rights in your Member Submissions (including, without limitation, all rights to the audio, video, or digital recording, and the performance contained in your Member Submissions) or, alternatively, you have acquired all necessary rights in your Member Submissions to enable you to grant to MeeVee the rights in your Member Submissions described herein; (b) you have paid and will pay in full all license fees, clearance fees, and other financial obligations, of any kind, arising from any use or exploitation of your Member Submissions; (c) you are the individual pictured and/or heard in your Member Submissions, or, alternatively, you have obtained permission from each person (including consent from parents or guardians for any individual under the age of eighteen (18)) who appears and/or is heard in your Member Submissions to grant the rights to MeeVee described herein; (d) you will make such permissions available to MeeVee upon request; (e) your Member Submissions do not infringe the intellectual property rights, privacy, rights of publicity, rights of privacy or any other legal or moral rights of any third party; and (f) your Member Submissions do not consist of or contain viruses, political campaigning, or commercial solicitation. You agree to keep all records necessary to establish that your Member Submissions do not violate any of the foregoing representations and warranties and to make such records available upon the request of MeeVee.
Copyrights; Restrictions on Use
The MeeVee Sites and Services, and all information, content, and software displayed on, transmitted through, or used in connection with MeeVee Sites and Services, including without limitation news articles, reviews, directories, guides, text, photographs, images, illustrations, audio clips, video, html, source and object code, trademarks, logos, and the like (collectively, the "MeeVee Content"), as well as its selection, coordination, arrangement and enhancement, is protected under United States and international copyright laws, is subject to other intellectual property and proprietary rights and laws, and, as between you and MeeVee, is owned by MeeVee, its parents, subsidiaries, or affiliates, or their respective licensors and suppliers.
The MeeVee Content may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way except as otherwise expressly permitted in these Terms of Use. You may download one copy of MeeVee Content onto a single computer, and a single copy of any portion of the MeeVee Content may be printed, in each case solely for your personal, noncommercial use. You must abide by all copyright notices, information, or restrictions contained in or attached to any MeeVee Content and must not remove any trademark, copyright or other notice from such MeeVee Content. The foregoing restrictions shall not apply with respect to your own Member Submissions.
You may not make any use of the MeeVee Sites and Services or MeeVee Content not expressly permitted in these Terms of Use without the prior written permission of MeeVee (and/or its applicable licensors and suppliers). The permitted uses described herein are contingent on your compliance at all times with these Terms of Use.

Linking to the Site
If you wish to link to the Site, you may include an active link on any website you control directing a browser to the Site’s home page, provided that you agree to remove the link at any time upon MeeVee’s request.
Certain of the MeeVee Sites and Services may supply you with RSS feeds, widgets, or other means to link to or republish certain MeeVee Content on your own website or other sites. Your use of those feeds, widgets, or other means shall be governed by any special terms and conditions under which they may be offered to you, in addition to these Terms of Use.
Whether you link to MeeVee Content or MeeVee Sites and Services on your own or through RSS feeds, widgets, or other means supplied by MeeVee, you may not link to any MeeVee Content or any MeeVee Sites and Services (i) in any way that alters the look, feel, or functionality of the MeeVee Content or MeeVee Sites and Services except to the extent that a specific widget or other means supplied by MeeVee enables you to alter the look or feel of that widget or other means; or (ii) in such a way that any MeeVee Content or any MeeVee Sites and Services are displayed within a frame on your site or any third-party website.
You also may not associate any MeeVee Sites and Services or MeeVee Content with any pornography, obscenity, or hate speech, or display or link to any MeeVee Sites and Services or MeeVee Content in a disparaging manner, in any other manner that could injure the reputation or goodwill of MeeVee, its parents, subsidiaries, or affiliates, their respective licensors or suppliers, or their respective officers, directors, managers, employees, contractors, representatives, or agents (collectively, the "MeeVee Parties"), or in any manner expressing or implying an endorsement, affiliation, agency, joint venture, or similar relationship between you or any third party and any MeeVee Parties.
Neither you nor any third party may use bots, spiders, or other automated information-gathering devices or programming routines not supplied by MeeVee to "mine" information found on the MeeVee Sites and Services, for display on or use with a website or service sponsored by you or any third party.
Copyright Complaints
MeeVee respects the intellectual property rights of others. Accordingly, MeeVee reserves the right to remove any Member Submission that violates copyright law, suspend access to the MeeVee Sites and Services (or any portion thereof) to any member who uses the MeeVee Sites and Services in violation of copyright law, and/or terminate the account of any member who uses the MeeVee Sites and Services in violation of copyright law. MeeVee has a policy of terminating in appropriate circumstances the accounts of members who are repeat copyright infringers. Pursuant to Title 17 of the United States Code, Section 512, MeeVee has implemented procedures for receiving written notification of claimed copyright infringement and for processing such claims in accordance with such law. If you believe your copyright is being infringed by a MeeVee member, please provide written notice to the following MeeVee agent for notice of claims of copyright infringement.
Your written notice must: (a) contain your physical or electronic signature; (b) identify the copyrighted work alleged to have been infringed; (c) identify the allegedly infringing material in a sufficiently precise manner to allow MeeVee to locate that material; (d) contain adequate information by which MeeVee can contact you (including postal address, telephone number and e-mail address); (e) contain a statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, the copyright owner's agent, or the law; (f) contain a statement that the information in the written notice is accurate; and (g) contain a statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner. Please do not send notices or inquiries unrelated to alleged copyright infringement to MeeVee’s designated agent.
Fees
MeeVee reserves the right at any time to charge fees for access to new MeeVee Sites and Services or MeeVee Content, to portions of the existing MeeVee Sites and Services or MeeVee Content, or to the MeeVee Sites and Services and MeeVee Content as a whole. In no event will you be charged for access to all or any portion of the MeeVee Sites and Services or MeeVee Content, unless MeeVee obtains your prior agreement to pay such charges. If you do not consent to such charges, however, you may not have access to paid MeeVee Sites and Services or MeeVee Content.
Password and Security
You are responsible for maintaining the confidentiality of your password for the MeeVee Sites and Services, and you are solely responsible for all activities that occur under your password. You agree to immediately notify MeeVee of any unauthorized use of your password or any other breach of security related to the MeeVee Sites and Services. MeeVee reserves the right to require you to alter your password if MeeVee believes that your password is no longer secure. The provision of a link to any other website or Internet resource is for your convenience and does not signify any of the MeeVee Parties’ approval or endorsement of any advertised product or service, any other website or resource or the content thereof. The MeeVee Parties are not responsible for the availability, content, or accuracy of, or opinions expressed in, such other websites or resources. YOU AGREE THAT THE MEEVEE PARTIES SHALL HAVE NO RESPONSIBILITY OR LIABILITY FOR ANY INFORMATION, ADVERTISING, SOFTWARE, PRODUCTS OR OTHER MATERIALS FOUND AT ANY OTHER WEBSITE OR INTERNET RESOURCE.

Limitation of Liability

SHOULD ANY MEEVEE PARTIES BE FOUND TO BE LIABLE TO YOU OR ANY THIRD PARTY NOTWITHSTANDING THE FOREGOING, SUCH LIABILITY SHALL NOT EXCEED $100.00.
Exclusion and Limitations
Some jurisdictions do not allow the exclusion or disclaimer of certain implied or statutory warranties or the limitation or exclusion of liability for incidental, consequential, or other damages. Accordingly, some or all of the above exclusions, disclaimers, and limitations may not apply to you. To the extent that MeeVee may not, as a matter of applicable law, disclaim certain implied or statutory warranties or limit its liabilities, the scope and duration of such warranties and the extent of MeeVee’s liabilities shall be the minimum permitted under such applicable law.
Indemnity
You agree to indemnify, defend, and hold harmless the MeeVee Parties from any and all claims (including, but not limited to, claims for defamation, trade disparagement, infringement of rights of publicity, invasion of privacy and intellectual property infringement), demands, causes of action, liabilities, losses, costs, expenses, and damages (including attorneys' fees and court costs) arising from or relating to any allegation regarding: (1) use of (including without limitation linking to) the MeeVee Sites and Services or MeeVee Content by you or anyone using your account; (2) MeeVee’s use of any of your Member Submissions or other content or information you provide, as long as such use is not inconsistent with these Terms of Use; (3) information or material posted or transmitted through your account (including, without limitation, Member Submissions or any other content), even if not posted or transmitted by you; and (4) any violation of these Terms of Use by you or anyone using your account.
Trademarks
"MeeVee" and the MeeVee design, as well as certain other of the names, logos, designs, and indicia displayed on or through the MeeVee Sites and Services constitute trademarks, tradenames, service marks, or logos ("Marks") of MeeVee or other entities. You are not authorized to use any such Marks. Ownership of all such Marks and the goodwill associated therewith remains with MeeVee or those other entities.
International Members
The Site is controlled, operated and administered by MeeVee from its offices within the United States. MeeVee makes no representation that the MeeVee Sites and Services and MeeVee Content are appropriate or available for use outside the United States and access to them from territories where they are illegal is prohibited. You may not use the MeeVee Sites and Services, nor export any MeeVee Content, in violation of U.S. export laws and regulations. If you access the Site from a location outside the United States, you are responsible for compliance with all applicable laws.
Promotions
From time to time, you may be given the opportunity to participate in sweepstakes, contests, giveaways, or other promotions offered by MeeVee, either alone or with promotional partners. These promotions are governed by their own official rules or agreements, as well as by these Terms of Use, and the terms of those rules or agreements will control over any conflicting provisions of these Terms of Use.
Cooperating Member, Affiliate, Partner, and Other Program
From time to time, you may be given the opportunity to participate in programs offered by MeeVee, either alone or with promotional partners, such as without limitation MeeVee’s Cooperating Member, Affiliate, Partner, and other programs. These programs will be governed by their own rules or agreements, as well as by these Terms of Use, and the terms of those rules or agreements will control over any conflicting provisions of these Terms of Use.
Referral Programs
MeeVee may from time to time offer you the opportunity to earn rewards by referring friends to subscribe to MeeVee (the "Referral Program"). Participation in a Referral Program may require you to submit personal information about you and your friends, such as name and email address. By participating in a Referral Program, you agree to receive communications from MeeVee, and/or from MeeVee vendors that operate and maintain the Referral Program, with regards to your participation in the Referral Program. The following guidelines shall apply to your participation in any Referral Program:
If any of the terms herein conflict with the terms of a specific Referral Program, the terms of the specific Referral Program shall control over such conflicting terms herein.
Termination
MeeVee may modify, suspend, or discontinue any MeeVee Sites and Services or MeeVee Content with or without notice to you. MeeVee may deny or restrict access to the MeeVee Sites and Services or MeeVee Content to any member or other person at any time for any reason. YOU AGREE THAT MEEVEE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY SHOULD MEEVEE EXERCISE ITS RIGHTS TO MODIFY, SUSPEND, OR DISCONTINUE, OR DENY OR RESTRICT ACCESS TO, THE MEEVEE SITES AND SERVICES OR MEEVEE CONTENT.
You may discontinue your participation in, and access to, the MeeVee Sites and Services at any time.
Survival
In the event of termination of your use of the MeeVee Sites and Services or of these Terms of Use for any reason, you agree that Sections 3, 9 through 15, and 21 through 24, along with all other provisions that by their nature or terms should survive.
Entire Agreement
These Terms of Use govern your use of the MeeVee Sites and Services and MeeVee Content and constitute the entire statement of the agreement between you and MeeVee with respect thereto, superseding any prior agreements or negotiations between you and MeeVee with respect to the subject matter hereof.
Disputes
These Terms of Use will be governed by and construed in accordance with the laws of the State of California, without regard to any conflicts of laws principles, and notwithstanding your actual place of residence. All lawsuits arising out of or relating to these Terms of Use or your use of the MeeVee Sites and Services or MeeVee Content shall be brought in the federal or state courts located in San Francisco, California, and you hereby irrevocably submit to the exclusive personal jurisdiction and venue of such courts for such purpose and waive any objection thereto on any basis.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the MeeVee Sites and Services or MeeVee Content or to these Terms of Use must be filed within two (2) months after such cause of action arose or be forever waived and barred.
Interpretation
If for any reason any provision of these Terms of Use is found unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties as reflected in that provision, and the remainder of these Terms of Use shall continue in full force and effect. Any failure of MeeVee to enforce or exercise any provision of these Terms of Use or related right shall not constitute a waiver of that right or provision. The section titles used in this Agreement are purely for convenience and carry with them no legal or contractual effect.
